Terms of Service
Effective Date: October 2026 • Governing all use of ColdLedger services, software tools, and statutory archives.
1Acceptance of Terms
By accessing, registering for, or using the ColdLedger platform ("Service"), operated by ColdLedger ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms") and our incorporated Privacy Policy and Delivery & Refund Policy. If you are entering into this agreement on behalf of a company or accounting practice, you represent that you have the authority to bind that entity.
2Description of Service
ColdLedger provides an automated API extraction and file transformation pipeline that interfaces with MYOB AccountRight and MYOB Business / Essentials. The service compiles general ledgers, trial balances, journals, tax registers, and In-Tray attachments into standalone, offline ZIP archives with self-contained HTML/JS viewers (Open_Vault.html) and normalized CSV/JSON files.
3Authorization, Permissions & Practice Admin Warranties
You expressly warrant and represent that:
- You are the legal owner of the MYOB company file(s), or an authorized agent (such as a registered Tax Agent, BAS Agent, Accountant, CFO, or IT Administrator) acting with full client authority.
- You possess Online Administrator credentials on the relevant MYOB serial number, necessary to grant third-party OAuth 2.0 API consent.
- You will maintain the security of any generated archive files, passwords, or encryption keys once downloaded to your infrastructure.
4Statutory Record-Keeping & Professional Advice Disclaimer
Important Regulatory Notice:
ColdLedger provides technical record preservation tools engineered to meet the digital record-keeping requirements under Section 262A of the Income Tax Assessment Act 1936 (Cth), ATO Taxation Ruling TR 2018/2, and Section 22 of the Tax Administration Act 1994 (NZ).
However, ColdLedger is not a registered tax agent, accounting firm, or legal practice. Use of ColdLedger does not constitute legal, tax, or accounting advice. You and your professional tax advisers remain solely responsible for the completeness, accuracy, and statutory compliance of your financial declarations and audits.
5Pricing, Volume Packs & Refund Policy
All prices are quoted in Australian Dollars (AUD) unless expressly designated otherwise. Fees and credits are governed by our Delivery & Refund Policy, which includes our Complications Resolution Guarantee. Unused volume credits purchased by accounting practices do not expire.
6Intellectual Property Rights
Your Financial Data: You retain complete, unencumbered ownership of all underlying financial data, transactions, client lists, and documents extracted from your MYOB files. ColdLedger asserts no ownership over your accounting ledgers.
Our Technology: ColdLedger and its licensors retain all right, title, and interest in and to the extraction software, UI, scripts, schemas, and offline viewer templates (Open_Vault.html). You receive a perpetual, royalty-free, non-exclusive license to use the offline viewer solely for reviewing your archived records.
7Limitation of Liability & Disclaimers
To the maximum extent permitted by law, including the Australian Consumer Law:
- ColdLedger is provided on an "as is" and "as available" basis. We do not warrant that third-party MYOB API services will be uninterrupted or error-free.
- Our aggregate liability for any claims arising out of these Terms or your use of the Service is strictly limited to the amount paid by you for the specific extraction giving rise to the claim.
- In no event shall ColdLedger be liable for indirect, punitive, or consequential damages, including loss of profits, business interruption, or tax penalties resulting from user records management.
8Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws in force in the State of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the courts of New South Wales.
